Well let's see what You Tube says:

(The first two words sums it up)

"Respect copyright. Only upload videos that you made or that you are  
authorized to use. This means don't upload videos you didn't make, or  
use content in your videos that someone else owns the copyright to,  
such as music tracks, snippets of copyrighted programs, or videos made  
by other users, without necessary authorizations."


"You shall be solely responsible for your own User Submissions and the  
consequences of posting or publishing them. In connection with User  
Submissions, you affirm, represent, and/or warrant that: you own or  
have the necessary licenses, rights, consents, and permissions to use  
and authorize YouTube to use all patent, trademark, trade secret,  
copyright or other proprietary rights in and to any and all User  
Submissions to enable inclusion and use of the User Submissions in the  
manner contemplated by the Website and these Terms of Service."

No matter what spin you may place on usage, the bottom line is that  
someone else created the content. If you have explicit authorization  
from that entity, then you have permission to use it. That's the way I  
interpret it.
